Mohit advises on fund formation, structuring, and regulatory compliance for AIFs and institutional investors. He specializes in secondary transactions, bespoke investment structures, and FDI-related advisory for foreign investors.
Mohit Maheshwari is a member of the Funds, Asset Management and Regulatory Team. He has advised various domestic fund managers on the formation, structuring and registration of private investment funds (including buyout funds, hedge funds, venture capital funds, private credit funds and so on) and has drafted the associated fund documentation. He has represented domestic fund managers and institutional investors such as DFIs, secondary funds, insurance funds, sovereign wealth funds and family offices on several fundraises negotiating the fund documents. He has advised secondary funds on a broad range of GP-led secondary transactions such as continuation funds, GP stakes and tender offer as well as LP-led portfolio sales. He has experience advising investors on bespoke structures such as co-investments, funds of one and separate managed accounts. He also advises foreign investors in connection with exchange control laws with respect to investments in alternative investments funds.
He regularly provides Indian legal-regulatory advice to alternative investment fund (AIF) managers, foreign portfolio investors (FPIs), portfolio managers and investment advisors with respect to regulatory applications, ongoing fund maintenance and operations.
Prior to joining IC Universal Legal, Mohit Maheshwari worked as an Associate with a US law firm in their London office. Before that, he worked with national law firms in Mumbai.
He holds a graduate degree in arts and law from National Law University Jodhpur.
